Build Own Operate Transfer (BOOT) on a project basis

We do the work and take the risk. Utilise will establish the commercial framework, design, fund, install and then sell on each project to you under a Build-Own-Operate-Transfer (BOOT) model.
The transfer price will be based on an agreed formula at an agreed time, so Utilise takes on design, capex, output and revenue risk.

The agreed price will provide attractive returns in excess of your buildings yield.

Limited earnings risk – you would be funding only proven projects, purchasing after several years.

Underlying contracts can be used to access debt funding.

Growth is possible - other products likely to evolve e.g. Battery Electric Vehicle (BEV) fueling, Battery Electric Storage Systems (BESS).

Portfolio management

If you have a property portfolio we can deliver this project development through a Special Purpose Vehicle – a company established to hold the installed system assets and underlying contracts.

Greater scale.

Easier administration.

Governance can involve multiple parties.

Debt can be accessed, and security offered, at the SPV level.

Installations can be staggered across a portfolio to optimise workflows.

Common underlying contracts

Underlying contracts – the contract framework is the same as if Utilise continued to own the assets.

Output is sold via direct supply to tenants located at the facilities under a Power Purchase Agreement (PPA) which covers such things as the long-term price and price resets, each party's obligations, and operations management.

Licences to Occupy for each facility will be granted by the property-owning entity.. This is a standard agreement similar to a lease agreement and contains things such as term and renewal, obligations of the parties, ability to purchase the system, and remediation.

This standard contract structure enables the movement of building assets in/out of the portfolio without harm to the solar business.​T

Utilise can manage the business too

If you wish, Utilise can continue to manage the solar business for you. This cost would be built into the purchase price so you would not double pay.

We will structure your purchase price to provide attractive returns, proven through operation over an agreed period. We are open to how this is structured but have found either hurdle returns on investment or earnings multiples to be the easiest approach.

Defined process

We agree upfront the BOOT process, metrics, and trigger points that achieve the transfer of the performing assets into your hands. If we have not achieved the right commercial outcomes it goes to your purchase price, and this way the commercial risk becomes ours. Having said that, we bring years of expwerience in solar and electricity markets and back ourselves, and our capital to achieve good outcomes for everybody.
